AGB

1.1 The following conditions is valid for all business of the Reuter & Bloeß GbR, represented by Mr. Christian Reuter (CEO), Klusser Damm 46 D-23970 Wismar - with the selling of products of the Reuter & Bloeß GbR or their individual adjustments. The following services are included: the selling of diagrams, web layouts, web designs, banners, logos and particularly forum design (Styles/Skins). The costum edit of general orders or programming and webdesign is count to this business additionally. The application are accepted with the order, with the order for a costum edit or at least with the payment and first installation of the product. Verbal agreements or references to the buyer's/customer's applications are accepted at any point.

2.1 Reuter & Bloeß GbR does not give warranty or guarantee regarding the correctness and accuracy of the data in instructions, brochures and manuals. Reuter & Bloeß GbR reserves itself the right, to improve products in technical and creative belongings, without touching the content of instructions, brochures and manuals. A divergence of the content in instructions, brochures and manuals can not deduced in rights against Reuter & Bloeß GbR.
2.2 You are not allowed to produce electronic or mechanicals copies without the explicit and written permission of Reuter & Bloeß GbR. This is valid for copies in extracts.

3.1 All prices are inclusive the legal VAT, if not stated otherwise. Prices without quotation and commercial costumers as target group have to eminate that this are gross prices.
3.2 All claiments becomes due with the date of the invoice and must be paid within 10 days without discont. This could vary if you pay with a valid credit card.
3.3 With delay of payment or return debit note Reuter & Bloeß GbR is allowed to charge 5% default interest. This interest rate results from the basis interest rate of the European central bank (EZB) in accordance with § 1 of the discount transition interest rate (DÜG).
3.4 The customer/buyer comes automatically into delay, if he does not keep the legal regulation for payment within 30 days starting from entrance of the calculation.
3.5 Reuter & Bloeß GbR reserves itself the right to close the account given by the registration in doubt.

4.1. The consumer in terms of § 13 BFB have the right of revocation according to §§ 312 following., 355 BGB with remote sale contracts. In accordance with condition of the remote sale law he have the possibility within two weeks after receipt of the commodity to recall the contract without reason. The revocation can take place in writing (e.g. letter, fax, email) or via return of the commodity; for period keeping the punctual sending off is sufficient on: Reuter & Bloeß GbR, Klusser Damm, D-23970 Wismar.
4.2. If the costumer uses the right of revocation he has to pay back the transmission costs as far as a purchase order value of 40, - Euro. Depreciations from intended use are to be refunded from the consumer unless the decrease was only used for the examination of the commodity. Inicidentally the consumer can avoid the indemnification according to value obligation, by using the prodcut not like an owner in use and omitting also otherwise everything, which impairs the value of the product.
4.3. A right of revocation does not exist in principle: CD, DVDs, CD-ROM, software, software licences, which were unsealed by the consumer. Products which are made after costumer specifications could not be refunded.

5.1 All dates of delivery is valid under reservation. Reuter & Bloeß GbR does not take over guarantee for the adherence to the dates mentioned, in particular if third (Deutsche Post AG orUPS) are involved in the supply.
5.2 No rights against Reuter & Bloeß GbR can be deduced because of delivery delays which are caused by higher forces or due less favorable conditions like operational disturbances, strike, material procurement difficulties, official arrangements and things like that. In case of higher forces Reuter & Bloes GbR reserves itself the right to extend the delivery time around the duration of the handicap plus an appropriate respite.
5.3 Delay against Reuter & Bloeß GbR is only valid in written form. In case of a delay the customer/buyer from Reuter & Bloeß GbR has to set an appropriate respite, which results from the kind of the delay. For individual changes a longer respite may be needed. Usually this are 14 days. Claims due delays are only valid for individual changes which are arranged at the conclusion of the contract. The costumer/buyer could claim a maximum distortion compensation at a value of 5% of the actual invoice amount in case of a delay. We disagree to other claims for respites.

6.1 The customer/buyer is not allowed to sell or to let the services/products to third persons.

7.1 To use the products of Reuter & Bloeß GbR you have to register once. The registration takes place with an online order on www.vbdesigns.de. In case of support questions you have to register in our support forums.
7.2 With the registration the costumer/buyer accepts the terms of service of Reuter & Bloeß GbR.
7.3 The user must update his address and e-mail address in case of changes. Therefore the costumer/buyer can use a password protected area on www.vbdesigns.de.
7.4 Reuter & Bloeß GbR reserves itself the right to reject a registration or to take back already given access authorizations. In particular if the data concerning the identity of the customer do not correspond to the truth. The costumer/buyer would be informed via e-mail by Reuter & Bloeß GbR immediately. The registration will be rejected or taken back if the costumer/buyer violates rule 7.4 of this terms of service or if he uses offensive or illegal words as user alias or by presumable abuse of the product.
7.5 Article 7.4 of this terms of service comes into force, if our products are used on websites with illegal content. Warez, Serialz, Crackz and things like that counts as illegal content.


8.1 The products and its accompying files are sold without warranties concerning service and marketability or without other warranties.
8.2 The costumer/buyer can require an amendment if he bought for costum changes and if there were made special declarations while signing the contract which are not included in the final product. This is only valid for products with costs, free products from Reuter & Bloeß GbR are excluded from amendments.
8.3 Claims for damage of any kind, including damage in consequence of the use of the software to data, software or hardware of the customer/buyer, are impossible.


9.1 Until all requests are payed all delivered products is unlimited property of Reuter & Bloeß GbR. This right remains untouched also by requirements from third.
9.2 With delay by the costumer/buyer Reuter & Bloeß GbR may use this property right to restrict accesses.


10.1 Property and copyrights to all products from Reuter & Bloeß GbR lies only at Reuter & Bloeß GbR. This proberty right and copyright covers all products and their supplies such as guidances, folders, manuals. The license agreement which is accepted with the installation of a product is valid.
10.2 The products are protected through copyright und international regulations. Therefore the costumer/buyer has to handle the product/the software like other copyright protected material.
10.3 The costumer/buyer is allowed to create a backup of this software/design/template for his own use.
10.4 The costumer/buyer must inform Reuter & Bloeß GbR immediately and in writing form, if he has the knowledge of a violation of commercial protection and copyright of a product from Reuter & Bloes GbR.
10.5 The costumer/buyer has basically the right to change the delivered product or to integrate it in another system. If this results in violations from copyrights of thirds, claims against Reuter & Bloeß GbR are not valid. The customer/buyer has to exempt the Reuter & Bloeß GbR in this case from all requirements.
10.6 In case of individual changes Reuter & Bloeß GbR has basically the right, if not stated otherwise, to resell the provided products. These includes the products itselfs with all supplies like guidances, brochures and manuals. Paragraph 6.1 of this terms of service remains untouched.

11.1 With the order the client gives Reuter & Bloeß GbR the exclusive right to present the work and products as reference and self-advertisement. Ony the laws of Germany are valid.

License conditions of our products

With the installation and enterprise of our products you accept the following license conditions.

License conditions for vbulletin, wbb, phpbb styles and webtemplates.

• The aquisition of a vbulletin, wbb, phpbb style or a webtemplate allows you the installation on one webserver and one website. If you want to use the product on several servers and sites you have to buy more licenses.
• The products are only intended for the buyer. You are not allowed to resell, transfer, let or pawn the products permanently or temporarly without the written permission of Reuter & Bloeß GbR.
• If you own a valid license, that means you have access to the member area after payment, you can install additionally the product for testing purpose in a .htaccess secured area.
• The product licenses are valid in each case for lifelong. They have however only one year access to product actualizations. Product actualizations can be extended at expiration, a further year at a time.
• All copyright notices in the files and templates must remain constantly visible and unchanged for users. If you wish a copyright-free license you can later order these in your customer account for 50,- EUR. Please contact us.
• Each customer must indicate an URL, where the product is used or in the future will be used. The URL will be registered in the customer profile of the shopsystem after the acquisition.
• You may change the products after your discretion (on own danger), you may however under no circumstances and without the written permission of Reuter & Bloeß GbR lett, transfer, sell or pawn the changed source code and the changed graphics.
• Our products may not be used in connection with the injury of mental property third, this are valid for all sections in these license conditions. This belongs to copyrights, registered trade marks, professional secrets, software piracy by patents, which are held by individuals or companies. Resuming also paragraph 7.5 our terms of service becomes effectively.

License conditions for the photoshop files of our free styles and templates.

• The Photoshop files are only intended for the buyer. You are not allowed to resell, transfer, let or pawn the Photoshop files permanently or temporarly without the written permission of Reuter & Bloeß GbR.
• The licenses for the access to our Photoshop files, can not be transferred to third persons.
• You may change the Photoshop files after your discretion (on own danger), you may however under no circumstances and without the written permission of Reuter & Bloeß GbR lett, transfer, sell or pawn the changed source code and the changed graphics.

License conditions for our free styles and templates.

• Our free vbulletin, wbb, phpbb styles and webtemplates can be installed on as many webservers and websites you want.
• All copyright notices in the files and templates must remain constantly visible and unchanged for users. If you wish a copyright-free license you can later order these in your customer account for 50,- EUR. Please contact us.
• You may change the products after your discretion (on own danger), you may however under no circumstances and without the written permission of Reuter & Bloeß GbR lett, transfer, sell or pawn the changed source code and the changed graphics.

• The products and its accompying files are sold without warranties concerning service and marketability or without other warranties.
• The risk of the use of the products is alone with the licensee. The claim of the salesman is limited exclusively to product replacement or refunding of the purchase price.

• Reuter & Bloeß GbR can examine the validity of your license to indefinite times. The data, which are examined thereby are your license number and the domain, under which our products run. If we should recognize discrepancies during the product use, we can withdraw your license from you and introduce perhaps legal steps against you. This data is not passed on third.
• Reuter & Bloeß GbR reserves itself the right to change these license conditions at each time.
